This paper aims to examine whether fiduciary duties and business judgment rule exist in the corporate legislation of Mongolia and if it does, the extent of director liability in the jurisdiction. The basis for choosing Mongolia lies with the current economic trajectory of the country as it is trying to diversify its economy and steer away from the legal and economic influence of the holdover from the influence of Soviet Union in the 20th century.
While it is argued that an anti-self-dealing index is associated with an increase in the stock market to GDP ratio, economic statistics alone will not give us a clear idea of how fiduciary duties are defined in relevant corporate legislation of a given country. In other words, we need to take a closer look into the actual wording of their corporate legislations to determine the extent of fiduciary duties established in the jurisdiction and how they relate to director liability.
